AVATOWN CREATOR COMPENSATION POLICY

FOR UNAUTHORIZED SALES OF DIGITAL ASSETS

WHEREAS, Avatown Inc., a Delaware corporation with its principal place of business in California ("Avatown"), establishes this Creator Compensation Policy (the "Policy") to protect eligible creators against unauthorized sales of digital assets on the Avatown platform.

DEFINITIONS

As used in this Policy, the following terms shall have the meanings set forth below:

1.1 "Creator" shall mean any individual or entity who (i) is a registered user of Avatown, (ii) has an active creator account, and (iii) is the original creator or rightful owner of digital assets offered for sale on the Avatown platform.

1.2 "Unauthorized Sale" shall mean any sale of a Creator's digital asset on the Avatown platform by a third party that (i) lacks proper authorization from the Creator, or (ii) violates the Creator's specified license terms.

1.3 "Revenue Loss" shall mean the actual monetary loss suffered by a Creator as a direct result of Unauthorized Sales, as calculated by Avatown based on platform transaction data.

ELIGIBILITY AND SCOPE

2.1 Eligibility. To qualify for compensation hereunder, a Creator shall:

(a) Be registered as an Avatown user at the time of claim submission;

(b) Maintain an active creator account on Avatown;

(d) Submit a claim within ninety (90) days of discovering the Unauthorized Sale.

2.2 Scope of Coverage. This Policy shall apply exclusively to:

(a) Unauthorized Sales occurring on the Avatown platform; and

(b) Sales violating Creator-specified license terms.

COMPENSATION

3.1 Maximum Compensation. Avatown shall provide compensation up to Five Thousand United States Dollars (US$5,000) per verified incident.

3.2 Calculation. Compensation shall be calculated based solely on documented Revenue Loss as verified through Avatown's platform data.

CLAIM PROCEDURE

4.1 Claim Submission. A Creator seeking compensation shall submit:

(a) Proof of original creation or rightful ownership;

(b) Evidence of Unauthorized Sales on Avatown; and

4.2 Investigation. Upon receipt of a claim, Avatown shall:

(a) Verify the authenticity of ownership claims;

(b) Confirm the occurrence of Unauthorized Sales;

(d) Verify compliance with applicable product terms.

4.3 Determination. Avatown shall, in its sole discretion, determine the validity of claims and appropriate compensation amounts based on the foregoing investigation.

LIMITATIONS AND EXCLUSIONS

5.1 This Policy explicitly excludes:

(a) Sales occurring outside the Avatown platform;

(b) Disputes between licensed resellers; and

MODIFICATION AND TERMINATION

6.1 Avatown reserves the right, at its sole discretion, to modify or terminate this Policy at any time. Any such modification or termination shall not affect claims submitted prior to the effective date of such change.

GOVERNING LAW

7.1 This Policy shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

SEVERABILITY

8.1 If any provision of this Policy is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

9.1 This Policy constitutes the complete and exclusive statement of agreement between Avatown and Creators regarding compensation for Unauthorized Sales.
